Cap Table
Real-time shareholder register, fully diluted in one click.
Set targets, build your campaign and invite investors — from the first outreach to a signed subscription, in one flow. When the shares are issued, they are entered in the share register with share numbers.
Every share issue gets its own page with pitch, pitch deck, team, board, contacts and images, and the documents investors should read. The page can live on your company's own domain, and you can add your own Google Analytics and Meta pixel.
Prospects are collected in a list with status, notes and expected amount, and can be imported from CSV or sign up through a form on the page.
The investor logs in with BankID on the offering page and signs the subscription with BankID. The subscription document is drawn up under section 10-7 of the Companies Act and is stopped if statutory details are missing.
The investor then gets a personal KID number, payment instructions as a PDF and a receipt by email.
The company sees every investor with a status from subscribed to paid, marks the payments and can download the contract note and signed agreement per investor.
Once the capital increase is complete, the shares are issued in the share register with share numbers. It is a separate step, so shares are not entered before the issue is actually complete. For convertible loans, the loan is created in the cap table when the payment is marked.
Nexus supports issues of new shares, convertible loans and SLIPs (the Norwegian take on the SAFE). Each campaign has one type, and payments are tracked per investor.
Investors log in with BankID the first time they invest and confirm their email address. No manual account creation is required — the account is created as part of subscribing.
Nexus keeps the share register under the Norwegian Companies Act and documents resolutions, subscriptions and minutes. The company remains responsible for the share issue and the rules that apply to it. An offer to the public can trigger prospectus or crowdfunding rules – check with a lawyer before inviting widely.
